What the assessment covers

Six dimensions, weighted into one score

A listing does not fail for one reason. It fails because a profitable company has an unconverted constitution, or a clean board has qualified accounts, or a strong balance sheet has no equity story. The assessment scores each dimension separately, then tells you which one is holding you back.

01

Financial track record

Three years of profit and loss, balance sheet and cash flow, turned into the ratios that decide eligibility and pricing — operating margin, return on capital, leverage, interest cover and cash conversion.

02

Regulatory eligibility

Every mandatory test for NSE Emerge, BSE SME and both mainboard routes, applied line by line to your numbers, with the reason for each pass or fail stated in plain language.

03

Governance and board

Board composition, independent directors, committees, key appointments and the governance policies an offer document is checked against.

04

Statutory compliance

MCA, GST, income tax, labour law, statutory registers, audit qualifications, litigation and tax disputes — the items that surface first in diligence.

05

Capital structure

Shareholding, promoter contribution, dematerialisation, convertibles, and the related-party and promoter-loan positions that must be cleaned before filing.

06

Transaction readiness

Objects of the issue, business plan, intermediaries and the equity story — what turns eligibility into an issue that actually prices well.

How it works

About an hour of your time, once

Have your last three audited financial statements to hand. Everything else is information you already know about your own company.

  1. 01

    Create your account

A secure login holds your working draft, so you can fill the form over several sittings and come back to it.

  2. 02

Questions SME promoters ask about going public

The eligibility norms, the routes, the cost and the time it takes, answered from the same rulebook your assessment is tested against.

What are the eligibility norms for an SME IPO in India?

Under the SEBI (ICDR) Regulations as amended in March 2025, an issuer on the SME platforms needs operating profit (EBITDA) of at least Rs 1 crore from operations in 2 of the last 3 financial years, at least 3 full financial years of operations, and post-issue paid-up capital of no more than Rs 25 crore. Promoters must bring in at least 20% of the post-issue capital, locked in for 3 years, and an offer for sale is capped at 20% of the issue. NSE Emerge also looks for positive free cash flow to equity in 2 of the last 3 years; BSE SME for net tangible assets of Rs 3 crore and a net worth of Rs 1 crore in each of the 2 preceding years. These are the norms this assessment tests, as at 28 September 2026.

Should my company list on NSE Emerge, BSE SME or the mainboard?

It depends on your size and track record. The SME platforms are for issuers with post-issue paid-up capital of up to Rs 25 crore; larger companies list on the mainboard, under SEBI ICDR Regulation 6(1), the profitability route, or 6(2), the qualified institutional buyer route. The assessment tests all four routes and recommends the one that fits your company today, with what stands in the way of the others.

What does an SME IPO cost?

Indicatively Rs 60 lakh to Rs 1.5 crore all-in for an SME IPO, and Rs 4 crore to Rs 12 crore for a mainboard issue: merchant banker fees, underwriting and market making, legal and due diligence, restatement and auditor fees, registrar, depository, exchange and SEBI fees, printing and marketing. The actual cost depends on the size and complexity of the issue; your report works it out for your company.

How long does the assessment take, and when do I get the report?

About an hour: three years of profit and loss, balance sheet and cash flow figures, entered in Rs lakh, then the governance and compliance questions. If you prefer, upload the statements and Team Bpro keys in the figures for you. Team Bpro reviews every submission, and the report reaches you within 24 hours, by email with the PDF attached and on your dashboard.

Can I see a report before I start?

Yes. Three complete sample reports, for companies that are IPO ready, near ready and at an early stage, are free to read without signing up. They are built from dummy data with the company names masked, and run through the same engine and rulebook as your own assessment.

Is the report a legal or investment opinion?

No. It is a preliminary and indicative assessment based on the information you provide. It is not legal, accounting, tax or investment advice, and it is no substitute for due diligence by a SEBI-registered merchant banker, a peer-reviewed auditor or legal counsel. What it gives you is a clear view of where you stand before you engage them.

How is my company's data protected?

Your information is used to prepare your assessment and is stored securely. You accept a data security and privacy undertaking before entering any figures, and the full undertaking is published on the privacy page.
